The feature to save your favorite reports helps to make weekly or monthly tasks more efficient. I have also had a great customer support experience - our representative is very responsive in getting us the help we need and makes us feel like we're her only client. **What do you dislike about Certent Equity Management?** Sometimes there are errors in reports or discrepancies between our records and accounting that are only discovered once something goes awry. However, this has only happened 1-2 times in the 9 months I've used Certent and has never been significant. **What problems is Certent Equity Management solving and how is that benefiting you?** Certent Equity Management helps with 3 primary functions for me: managing our equity incentive plan, employee stock purchase plan, and SEC reporting. We have RSU vestings multiple times a week and Certent makes it a breeze. The process is very smooth and efficient. And at quarter-end or year-end, reports from Certent make our lives much easier from an SEC reporting perspective. The Certent Support team has been fantastic helping us setup and use some of their standard features in an "outside of the box" way that fits our company's needs, and our account rep Katie Avila could not be more accessible or responsive when we have questions or need help with creative solutions! **What do you dislike about Certent Equity Management?** Would like to have the ability to do some manual adjustments such as changing email address, mailing address, etc information for participants ourselves rather than submitting those changes requests to the Certent Plan Admin team to do, but, at least their team is fast responding to change requests / tickets usually same day. **What problems is Certent Equity Management solving and how is that benefiting you?** Having comitted to offering Equity Ownership Shares to all of our 1500+ full time employees, we needed a robust platform that would allow us to issue and track shares, but also provide an employee facing portal view to allow our team members to view and track the vestig of their shares over time. The Certent team worked with us to find some creative out of the box solutions that fit within the structure of their platform to make it work for our company's needs, and the support team (in particular our account rep Katie Avila!) could not be more helpful! ### 13. Reports are flexible, and can be filtered in many different ways for different purposes. We use for performance based and time based RSUs and RSAs. We do not use the system for dividend/DEU calculations. Most critical reporting is used for SEC public reports, which are just a click away, and used to be manually calculated maintained in excel workbooks. Certent reporting saves us hours/days of manual tracking in excel. Our relationship manager is also very responsive, knowledgable, patient and reasonable. **What do you dislike about Certent Equity Management?** Since Certent is not a broker, when we changed from private to public, the connection with a broker has been very challenging. Almost like duplicative work and coding. Albeit, it seems like Certent's customer services is much better than the broker so we are hoping that once connection is made, we won't have any future broker/record keeper issues. Back end set-up is hard to follow and understand since it's not something regularly reviewed, but our relationship manager is always available to help and walk us through our needs and questions. Also, it would be valuable if Certent offered the ability to calculate cash dividends (not DEUs), so that we don't have to track in excel. But this is not a deal breaker. **What problems is Certent Equity Management solving and how is that benefiting you?** We no longer need to manually track awards for vesting, accounting close and SEC reporting disclosure. Once new awards are set-up, our management and reporting using the system is very simple. This platform has saved us hours/days of manual processing where there is higher risk of human error. ### 14. The ease of use and reporting are two of its strengths, in both cases being intuitive and provide a lot of functionality. In the past, we have used to process reverse stock splits, in all cases engaging their professional services team. They exhibited good subject matter expertise and delivered the deliverable timely. On three occasions I have worked with Brent Jerolimic and on one occasion Cory McCarty and they were professional. easy to work and most importantly, the product as promised. ### 17. Relatively easy to do award modifications when needed also. The upload templates make it easy to add large amounts of data in terms of grants and exercises in to the system. The availability of different types of reports make reviewing transactional activity as well as accounting and disclosures very easy. Prior to implementing Certent, we manually calculated all of our journal entries manually because we did not have a system that we could reliably assure the completeness and accuracy of the data. Certent's solution and reporting capabilities have allowed us to get comfortable relying on a system to pull all journal entries for the month. We used to have one FTE supporting stock-based compensation, and using Certent has allowed us to have stock-based compensation be only 10% of someone's day-to-day activities. We are always looking for efficiency gains and this system has helped us to achieve a lot in this area. **What do you dislike about Certent Equity Management?** System could be designed a bit more user friendly. Since Certent acquired EASi, the color scheme changed on the site, but I didn't see much functionality added to the site to improve user experience. The system operates largely as it has from the time we implemented many years ago. One functionality Certent does not have yet is the ability to indicate individuals as 162m (ineligible for compensation expense deduction on corporate tax return that would remove any DTA from being calculated). This requires us to run manual reports on a monthly basis in order to ensure we are posting accurate DTAs on awards granted to individuals who are designated as 162m. We do grants on an annual cycle, so this isn't extremely burdensome, but definitely adds an extra step in the process. One more thing I wish the system would improve on is their reports. They added in the past year or so the ability to customize reports, including column headings, which is useful. The vast majority of their reports contain a significant amount of columns, which isn't always a bad thing because the data you are looking for is generally there. However, there are many instances where we have to hide a ton of columns or rework the reports to show only the information we need while making it user-friendly for another to review. **Recommendations to others considering Certent Equity Management:** Certent Equity Management has helped us streamline the administration and accounting compliance for our equity-based compensation program that would be extremely burdensome without such a user-friendly tool. **What problems is Certent Equity Management solving and how is that benefiting you?** Prior to implementing Certent, we were manually calculating monthly journal entries to record expense for equity-based awards. Any summary report used for disclosures can also be ran as a detail report to aid in completeness and accuracy testing. The tool is quick and allows many users to be in the tool at the same time. The roles are very distinct and allow for some users to just generate reports and not make any changes to the awards. The sandbox provided by the tool is very good for experimenting and seeing what will give you the results you need. **What do you dislike about Certent Equity Management?** In the past, the SSAE 18 report provided for the firm had certain holes that caused headaches on both an internal control and external audit side, as the client would have to have compensating controls in order to make up for the internal control deficiencies. This has improved over the past few years, but there's still some reports that are used during the equity process, such as for EPS calculations, that are still not covered by the SSAE 18 report.
