Venue is a good choice for a virtual data room. The sales rep I deal with is extremely friendly and always willing to be flexible and help with pricing, general support, etc. The pricing structure is also good as monthly billing remains the same up to certain size thresholds. This makes it much easier to forecast total cost for our client - other virtual data room providers don't offer this style of pricing. The VDR design is also very professional and rivals the large competitor. I have also not had any issues with downtime or the platform not working, etc. The platform is easy to use for both the administrator and user. The large competitor provides a redaction tool that is very useful and works very well (i.e. you can redact parts of a document directly in the VDR. It would be great if DFIN Venue could also develop a similar service as this is a time consuming task for M&A processes and having a redaction tool directly in the VDR is a large time saver. Also opening the data room is a bit more of tedious process with DFIN compared to the large competitor. DFIN requires you to fill in a long form to determine the main VDR functionalities and settings. I like DFIN Venue for housing our scientific and corporate dataroom. It lets me, as a one-person team, manage access to our confidential information safely and reliably with multiple parties. The format of one dataroom and managing access through users and teams is critical for keeping everything up-to-date and discussion-stage appropriate. I really appreciate the user management functions. I can stage access for a group of users tailored to the business interaction and level of engagement with a potential partner, which is a big win for our small biotech with a lean team. Setting up DFIN Venue couldn't be easier; I managed the entire dataroom live in less than an hour. I made the switch from OneHub to DFIN Venue because its architecture allows for one dataroom where access is managed by teams, instead of creating a dataroom for each partner. The staging area is a bit cumbersome for large updates. I have been using it to get leadership to review documents before they go live. A way to assign tasks for review to the internal admins and prioritize what sections or files to review would be helpful for those not intimately familiar with the DFIN Venue interface. I like that there is a great user experience for external parties, which makes it easier to navigate and search efficiently to find specific documents. There are also many deal-ready VDR capabilities such as strong permissioning, folder/Q&A structure, watermarking, etc., which is useful for M&A, financings, restructurings, and diligence-heavy processes. Uploading, renaming, and keeping a clean folder can be time-consuming, especially in a late deal when documents churn, but that comes with any other VDR as well. What I like best about DFIN Venue is how easy it is to upload and manage documents, which helps keep workflows efficient and organized. Their technical support team is highly responsive and knowledgeable, and the overall client service is exceptional. What I dislike most about DFIN Venue is that pricing can occasionally be a hurdle for more cost-sensitive clients. While the platform delivers strong value through its functionality, service, and support, it can sometimes be challenging to communicate those benefits when compared to lower-cost alternatives. That said, the DFIN client services team is very receptive to these concerns and does an excellent job working with clients to address them and demonstrate the value the platform provides.

I dislike the login system - there is 2fa every single time I need to access the VDR from the buyer perspective. I also feel like the platform is a bit barebones and lacks a more descriptive interface regarding file navigation. This would be useful from the buyside when trying to find files.
