We wanted to use Vestd for company secretarial services and Companies House integration as well as for setting up and administering a share option scheme. Other platforms that we looked at told us they could not help. Vestd deployed its development team to amend the platform to accomodate our needs, without fuss or charging us more. The onboarding, investment and valuation teams (special thanks to James Schembri, Leo Freschini and Ashley Chambers) were incredibly responsive and attentive. It was great to work with a SaaS product that is willing and able to update and improve its software in a quick and agile manner and provide such personalised support. They also keep investing in the products which is good. **What do you dislike about Vestd?** We currently still plan for which shares / options to give future new hires / open roles in a spreadsheet, then we execute in Vestd. It would be nice to get rid of spreadsheets altogether. It would be nice if advanced templates like shareholder agreements could also be provided, either like Rocket Lawyer or in partnership with them. It makes the whole process of issuing shares whether they're growth shares or ordinary shares incredibly simple. Everything is automated through their platform including submissions to Companies House as well as sending documents to the other directors and shareholders for signing which is all done electronically. If you're an SME that's looking to give equity to an advisor (non-employee) without any risk and retain the ability to keep a hold of that equity if they do not meet the obligations of your arrangement than Vestd is the platform to help you do that. I wish we'd have started with a clean setup in Vestd. However, the support team were amazing and did a great job of completing our setup and we have been very pleased at being able to better manage our governance over time. Not cheap, but very worth it. **What do you dislike about Vestd?** Some of the Vestd standard paperwork (e.g. EMI option agreements) could be better, and uploading bespoke paperwork can be a challenge. I'd like the EMI scheme integrated into HMRC as well (an HMRC limitation not a Vestd limitation) I would like to see the cap table with options only to download equity investors as opposed to equity plus option holders **Recommendations to others considering Vestd:** Start clean - dont move from paper/Excel to Vestd. For our team, the individual employees are able to view what options they have been awarded by visiting their portal at any time. **What do you dislike about Vestd?** Even though Vestd make it as simple as possible, setting up a share scheme is still a complicated process to get your head around! **What problems is Vestd solving and how is that benefiting you?** The problem we were trying to solve for when we found Vestd was that the process of giving or receiving shares in a private limited company was extremely cumbersome, expensive and confusing. The "paper based" process that exists today is archaic and is a hindrance for innovative companies operating in the startup ecosystem, when it comes to sharing some of the potential upside with employees and other partners that work with them through their journey. My experience with Vestd has been really fantastic. They have an amazing digital experience but have also added great "human" customer service to guide you through the process. ### 38. It's a single place where everything relating to equity in the company is stored. So if a future investor wants to know exactly what our set-up is, we have everything neatly filed and accessible online. The added bonus is that everything is digital so no risk of me losing an important piece of paper. **What do you dislike about Vestd?** It can be a hassle to get a valuation as an early stage company, which you need to have on Vestd, but the team were great at helping me figure out what needed to be done. **Recommendations to others considering Vestd:** Drop the team a line to get them to explain everything to you. They can give you some pointers about your specific situation. **What problems is Vestd solving and how is that benefiting you?** The problem is that paying people with equity is fiddly to do. Your company needs to adopt the right Articles of Association to support bringing new shareholders onboard. You need to nail down classes of shares and do legal work on shareholder agreements to attach conditions to the shares. There are tax implications to consider. All of that takes time and has its own costs which a bootstrapping startup cannot afford. Vestd takes the headache and cost out of allocating equity stakes to anyone helping a company get going. ### 39.
