Who is Fidelity Private Shares pricing best suited for?

Fidelity Private Shares's pricing is best suited for early-stage and growth-stage startups. G2 reviewers are predominantly small businesses with 50 or fewer employees, spanning software, biotech, financial services, real estate, and consulting — all leveraging Fidelity Private Shares for cap table management, equity issuance, and legal workflow automation. The free Launch tier fits pre-seed founders with minimal stakeholders. Fidelity Private Shares's Startup and Growth tiers suit seed-to-Series A companies needing HRIS integrations, 409A valuations, and ASC 718 compliance. Mid-market reviewers in software and biotech also appear across G2 data, indicating Fidelity Private Shares scales effectively for companies with 51–1,000 employees managing more complex equity programs.

What are the key differences between the free and paid versions of Fidelity Private Shares?

Fidelity Private Shares's free Launch tier supports up to 25 stakeholders and companies that have raised under $1M, covering cap table management, equity plan generation, a data room, board consents, scenario modeling, standard reporting, 83(b) generation, Rule 701 exemption checks, and electronic securities. Fidelity Private Shares's paid tiers — Startup, Growth, and Scale — add premier and priority support, investor updates, Form 3921 filing, HRIS and payroll integrations, ASC 718 compliance, priority onboarding, and 409A valuations. G2 reviewers specifically highlight 409A valuations and ASC 718 as high-value paid features. All paid tiers require contacting the vendor for custom pricing.

Is Fidelity Private Shares considered good value for its pricing?

G2 reviewers rate Fidelity Private Shares at 5.0/5 overall, signaling strong perceived value. Multiple reviewers explicitly cite cost savings as a core benefit — one G2 user reported saving thousands in monthly legal fees by self-serving equity issuance and board resolutions, while another noted a $1,000 financing data-entry service that replaced roughly $5,000 in law firm associate fees. The free 409A valuation included in higher tiers is frequently praised. Reviewers who switched from Carta cite Fidelity Private Shares's combined data room, HR workflows, and cap table management as superior value. The free Launch tier adds further value for pre-seed companies needing zero-cost cap table infrastructure.

"Robust Platform with Outstanding Support"
5/5
What do you like best about Fidelity Private Shares?

I love the team at Fidelity Private Shares. They were amazing and helped us tremendously. Their knowledge made it so easy to onboard and get everything organized. The team really held our hand through every step of the process, guiding us effectively. The platform is also far more robust compared to the previous tool we used, with links to every single document, enabling us to close deals quickly. Additionally, the pricing is really good, and the reputation of Fidelity was instrumental in our decision. Review collected by and hosted on G2.com.

What do you dislike about Fidelity Private Shares?

One of the things I find a bit lacking is the modeling tools for scenario analysis. They do have modeling tools, but from my understanding, it's more useful once you have a deal firmed up and know what your planned offer is, rather than being used for exploring different scenario analyses. "Promising Platform with Excellent Support"
4/5
What do you like best about Fidelity Private Shares?

The platform needs to become more user-friendly. I'm still unsure whether it can actually help address any legal issues that might arise during fundraising. While the concept is promising, I think it will take more engaged users and additional time to truly determine if the product provides real value. Review collected by and hosted on G2.com.

What do you dislike about Fidelity Private Shares?

The platform is not very intuitive, and its workflows can be confusing. While the success manager is extremely helpful, I feel that the system would be difficult to use without their support. Additionally, the user interface could use some improvement. Review collected by and hosted on G2.com.
