It automates the invoice-by-invoice work of enforcing outside counsel guidelines, so legal operations, finance and legal leadership can see what outside counsel is charging and why, without reading every line item by hand.
Invoices arrive by upload, bulk upload or a dedicated intake email address, in PDF or LEDES format. CounselAudit.ai extracts timekeepers, matters, rates and line items, then runs every invoice against more than 45 pre-built review checks across 8 categories, plus any custom rules the organization writes.
Typical findings include block billing, rate increases outside agreed terms, excessive or duplicate staffing on a single task, administrative work billed at attorney rates, vague narratives, billing-increment violations, non-reimbursable expenses, arithmetic errors and travel charged in full. Each finding becomes a flag with a severity level, the evidence behind it and a plain-language explanation of the guideline it breaches.
Reviewers resolve flags with one of four actions: waive, uphold, adjust or escalate. CounselAudit.ai then drafts the outbound correspondence, either a reduction email to the billing partner or a guideline compliance letter, in a formal, collaborative or strict tone. Approved invoices route onward to finance with the payable amount and GL coding attached.
A guidelines builder generates a complete set of outside counsel guidelines from 37 default rules across 8 sections, or imports an existing set from PDF, DOCX or TXT and maps each clause to an enforceable check. An optional timekeeper approval roster tracks approved rates per firm, parses engagement letters to build the roster, and flags rate deviations beyond a set tolerance.
Reporting covers budget and work-in-progress tracking, fee estimates against actuals, scope creep detection, firm scorecards, timekeeper analytics and an executive spend dashboard. An Ask AI feature answers spend questions in plain English. An optional MCP connector brings the same tools into Claude, ChatGPT and other AI assistants. RFP management for competitive outside counsel selection is scheduled to launch shortly.
Data is encrypted at rest and in transit with per-organization isolation, and customer data is never used to train AI models.
