As for our functionality we have all of the features you are looking for and then some when running a due diligence process. We are one of the only providers to offer an unlimited data room subscritpion model in which 70% of our clientele are using. As for your comment about sharing a link similar to dropbox, one major issue with that is lack of security as that link can be shared with whoever with no accountability. Because we offer a secure platform with robust reporting, you can see if any nefarious actors are in your data room sharing information they shouldn't be with unknown parties. That and having the ability to apply a dynamic watermark to all documents is paramount in maintaining absolute security around your documents.
