Govern 365 works as a Microsoft 365-native Virtual Data Room and secure collaboration layer. Instead of moving sensitive files to a third-party VDR cloud, it keeps documents, permissions, and audit activity inside the customer’s own Microsoft 365 tenant, helping maintain data sovereignty and reduce duplicate data movement.

It uses core Microsoft 365 services as the foundation: SharePoint Online stores the documents, Teams supports collaboration, Microsoft Entra ID manages identity, access, MFA, and guest users, while Microsoft Purview Information Protection applies sensitivity labels, DRM, and content protection.

On top of this, Govern 365 adds VDR-specific capabilities such as self-service data room provisioning, template-based workspace creation, granular permissions, Q&amp;A management, Vault, audit trails, reporting, and lifecycle governance. These make it useful for M&amp;A due diligence, fundraising, board collaboration, audits, and other sensitive external collaboration scenarios.
